PLEASE NOTE: WE ARE NO LONGER VAT REGISTERED, AS OF 7th APRIL 2022

This agreement is made between the ENGINEER (“Engineer") and CLIENT (“Client”). The Engineer agrees to produce a web-application, as per notes and interpretation in estimate, at the request of the client, for fees agreed upon in advance. The Engineer by default does not charge for “styling” unless very specific requirements are defined and discussed upfront. The default is to include any logos, fonts and/or branding that the Client has already and any requirements in addition to this will be a surcharge. The Client accepts that our web applications are not designed to run on Internet Explorer as this soon-to-be discontinued browser falls short of minimum industry standards. The Client also accepts that all applications built require an internet connection to run successfully.

1. CONFIDENTIALITY
Engineer acknowledges that she may receive or have access to information which relates to the Client’s past, present, or future products, vendor lists, creative works, marketing strategies, pending projects/ proposals, and other proprietary information. Engineer agrees to protect the confidentiality of the Client’s proprietary information and all physical forms thereof, whether disclosed to Engineer before this Agreement is signed or afterward. Unless strict confidentiality is requested by Client in advance of the establishment of this contract, Engineer can display a very brief description of the Client’s project on the Engineer’s website.

2. PROCESSES AND FEES
(Fixed Price Packages are fully refundable if we realise that we are not a good fit) The client agrees to follow this process before project initiation:
1. Complete Initial Questionnaire (https://www.ibLSS.com/Start)
2. Answer any follow up questions via email
3. IF we approve Client's project as a suitable match, Client can choose and pay for one of 3 options to proceed to the next stage
   a. If we realise that we can't help you, your money is refunded
   b. If you proceed to purchase our quoted services, the cost comes off your invoice.
   c. One postponement is accepted of a Zoom Call is accepted; 2 hours of notice is required.
   d. No-shows incurr the full cost of the Initial Consultation
4. If we think we can help you, we can provide our action plan and, upon its completion by Client, can prepare the draft design and share quotation
5. Client can either accept or decline the quotation

The Engineer will generally only take on projects worth >£1,000 (monthly payment plans are now available for projects over £1,500 - these plans initiate the next evenly-distributed part of the work and are not in any way a form of financial credit). All payments (in full and monthly payments) are upfront.

Sufficient video footage will be sent during the build to collect feedback and ensure Client satisfaction). If the parameters of the Work change, or if it involves more time than estimated, Engineer will inform Client and they can renegotiate the Work’s cost. . Updates and upgrades to existing clients’ works will incur a minimum fee of £100. Email support is provided at the sole discretion of the Engineer but the Engineer will generally allow for 2 months of post-completion. Once this post-completion period has ended, the work is assumed to be complete and therefore ALL work from that point onwards (this includes all queries and communication) is to be paid for upfront and there are no conditions that will alter this requirement. Monthly retainers can be discussed on a client-by-client basis.

3. COMPLETION OF WORK AND BETA TESTING
The Client accepts that all web-development Work must be beta tested by the Client (post alpha testing from Engineer). It is agreed that Beta Testing is an iterative cycle requiring timely involvement from both parties, and that its purpose is to achieve autonomy between functioning solution and original specification. It is agreed that Beta Testing is not to set and achieve newly defined goals.
Small Projects: beta testing is to last a maximum of 6 weeks
Medium Projects: beta testing is to last a maximum of 8 weeks
Large Projects: beta testing is to last a maximum of 10 weeks


4. CANCELLATION
Both parties understand that Client or Engineer may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by either party. Upon written cancellation, Client is responsible for payment for all expenses incurred and any work done towards the completion of the project based on the percentage of the project completed that is determined by Engineer. Should Client cancel the project following its completion, Client is responsible for full payment as per the agreed upon estimate plus all expenses incurred. In the event of cancellation, Engineer retains all aspects of ownership of the Work in its current form.

5. ACCEPTANCE OF TERMS
The Client agrees to these terms when they "Accept and Proceed" and pay, upon Project Approval.
